Where used in this Agreement, references to:

	"you" "your" and/or "Affiliate" means the individual or entity which applied as the "Beneficiary" for payment purposes on our sign up form as submitted at our website or pursuant to execution of this Agreement ("Affiliate Information Form")
	"we", "our", "us" or “OK USA Poker” means OK USA Poker Corporation S. A. a company incorporated and carrying on business in Costa Rica.

Execution of this Agreement constitutes your acceptance of the terms and conditions of this Agreement, and will be a legally binding agreement between you and us.

1. To become an Affiliate you will have to complete an Affiliate Information Form.  We will not terminate your Affiliate Agreement save and except if it is determined that your Web Site or you is not suitable for the Affiliate Program, for the following reasons, inclusion of content on your Web Site or marketing or representations that is in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable, which by way of example only, contains (I) speech or images that are offensive, profane, hateful, threatening, harmful, defamatory, libelous, harassing or discriminatory (whether based on race, ethnicity, creed, religion, gender, sexual orientation, physical disability or otherwise), (ii) graphic violence or (iii) any unlawful behavior or conduct, or (iv) material designed to appeal to minors.  This is intended to protect the integrity of OK USA Poker and all its affiliates.
   
   
2. We will provide you with marketing material that is provided to other affiliates such as bonus code cards with your tracking code at no cost.  You will be responsible for: (i) the technical operations of any website you are operating, including all related hardware and software; (ii) the marketing and advertising with respect to any materials not supplied to all affiliates, including all costs to promote OKUSAPoker.com; (iii) ensuring that materials posted on your Web Site or materials use the correct tracking code and are kept up to date ; (iv) and ensuring that all advertising, marketing and material  that you develop comply with all laws.
   
   
3. OK USA Poker shall pay you in United States Dollars 25% of the Gross Rake plus 25% of Tournament Entry Fee ( herein the “Affiliate Fees”). Rake means the amount of money taken out of a single pot in accordance with the amount specified in the rake schedule from time to time posted on OKUSAPoker.com.  Gross Rake is the sum of all of Affiliate’s Players contribution to the Rake less any credits, bonus or promotion amounts given to Affiliate’s Players, processing charges, charge backs, or any uncollectible revenue attributable to the Affiliate’s Players.  Tournament Entree Fee means a single entry fee paid by the Affiliate’s Player for participation in a tournament less any credits, bonus or promotional amounts given to Affiliate’s Player, processing charges, charge backs, or any uncollectible revenue attributable to Affiliate’s Player.  Player means an individual who registers using the Affiliate’s ID, has established an account and has accepted the end user license agreement on the OKUSAPoker.com site.  Affiliate ID means the tracking code you are assigned when you sign up in the Affiliate Program.
   
   
4. We will deposit to your affiliate account balance the affiliate commissions on the 15th day of each calendar month based on your Player’s activity on the previous calendar month.
   
   
5. OK USA Poker grants you a transferable, non-exclusive, license to place a link on your Web Site during the term of this Agreement and for marketing purposes, to use our logos, trade names, trademarks, service marks and similar identifying material (collectively, "Licensed Materials"), solely for the purpose of promoting OKUSAPoker.com.  If you do not have a web site the license granted shall be for marketing purposes.  This license is fully transferable by you.  You are not permitted to alter, modify or change the Licensed Materials in any way whatsoever. You may not use any Licensed Materials for purposes other than promoting OKUSAPoker.com. You are not permitted to use the Licensed Materials in any manner that is disparaging or that otherwise portrays OKUSAPoker.com or anyone else negatively. We reserve all of our rights in the Licensed Materials and all other intellectual property rights. You acknowledge that, except for the license expressly granted in this Agreement, you have not acquired and will not acquire any right, interest or title to the links or the Licensed Materials by reason of this Agreement or through the exercise of any rights in the links or the Licensed Materials granted to you under this Agreement.
   
   
6. You and your Players must provide true and complete information to us at all times, including but not limited to, Affiliate’s and Affiliate Players identity, contact information, payment instructions, nationality, residency and any other information that OK USA Poker may request from time to time.
   
   
7. The term of this Agreement will begin upon your acceptance to the Affiliate Program and will continue in perpetuity. Any notice provided pursuant to this Agreement shall be effected by written notice by email to (i) in the case of the Affiliate to us to affiliates@OKUSAPoker.com and (ii) from us to Affiliate at Affiliate’s last email address provided to us. If you are no longer an Affiliate  you will immediately cease use of, and remove from your Web Site or any link all Licensed Materials and any other names, marks, symbols, copyrights, logos, designs, or other proprietary designations or properties owned, developed, licensed or created by us and/or provided by or on behalf of us to you pursuant to this Agreement or in connection with the Affiliate Program. If you are no longer an Affiliate and our payment to you of all commissions due at such time we shall have no obligation to make any further payments to you.
   
   
8. We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data arising in connection with this Agreement or the Affiliate Program. Further, our aggregate liability arising with respect to this Agreement and the Affiliate Program will not exceed the total commissions due and owing to you under this Agreement.
   
   
9. You and OKUSAPoker.com are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.
   
   
10. You hereby represent and warrant to us that you are an adult of at least 19 years of age (or the age required by the laws that may affect this Agreement.)
    
    
11. We may disclose or have disclosed to you certain information as a result of your participation as part of the Affiliate Program, which information we consider to be confidential (herein referred to as "Confidential Information"). Confidential Information shall remain strictly confidential and secret and shall not be utilized, directly or indirectly, by you for your own business purposes or for any other purpose except and solely to the extent that any such information is generally known or available to the public or if the same is required by law or legal process or to market OK USA Poker.
    
    
12. The provisions contained in this Agreement constitute the entire agreement between the parties with respect to the subject matter of this Agreement, and no statement, representation, or inducement with respect to such subject matter by any Party which is not contained in this Agreement shall be valid or binding between the Parties.
    
    
13. This Agreement shall be executed, entered into and governed by and construed in accordance with the laws of Costa Rica, applicable therein. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent.
